Service offerings
ARTICLE 1 – OBJECT
This contract governs the provision of services specifically listed in the quotation signed by both parties. Any service not mentioned in the quotation will be subject to a separate agreement and billing.
ARTICLE 2 – TERM
The contract takes effect upon signature and remains in force until the completion of the services, according to a schedule agreed upon by both parties. Timelines may be adjusted by written agreement.
ARTICLE 3 – RATES AND PAYMENT
Services are billed at the agreed price outlined in the quotation signed by both parties. Payment may be made either in a single installment or in four monthly installments, with a payment date to be mutually agreed upon by both parties.
ARTICLE 4 – SLA (Service Level Agreement)
NGYN commits to responding to requests within 24 business hours throughout the implementation. Unscheduled interventions will be subject to an additional quotation.
ARTICLE 5 – DATA PROTECTION
Both parties commit to complying with GDPR obligations. NGYN implements all necessary technical measures to secure client data and will notify in the event of a breach.
ARTICLE 6 – CONFIDENTIALITY
All exchanged information is confidential. Disclosure to third parties is prohibited without the other party's written consent, except as required by law.
ARTICLE 7 – LIMITATION OF LIABILITY
NGYN is not liable for indirect losses or service interruptions caused by unforeseeable events (force majeure, technical failures, etc.).
ARTICLE 8 – TERMINATION
The contract may be terminated with 30 days' notice, without the need to provide a reason. In the event of early termination (without notice), a legitimate reason must be provided, such as:
- Failure by either party to fulfill contractual obligations,
- Payment default,
- Force majeure event making contract execution impossible (natural disaster, prolonged technical failures, etc.),
- Cessation of business by either party,
- In the event of termination, the client is required to pay for the services rendered up to the termination date.
ARTICLE 9 – DISPUTE RESOLUTION
Any dispute will be subject to the courts of Brussels, Belgium.
NGYNER Subscription
ARTICLE 1 – OB JECT
The annual NGYNER subscription provides support and guidance for Odoo solutions, including support hours, discounts, and collaboration opportunities with other NGYN members.
ARTICLE 2 – TERM AND RENEWAL
The subscription is agreed upon for 1 year, with the option for automatic renewal. If the client commits to 3 (or 5) years, they receive a pricing advantage according to the terms outlined in Article 4. Payment may be made annually or as a one-time premium covering the 3-year (or 5) period.
ARTICLE 3 – SUBSCRIPTION CONTENT
- 15 hours of support per year, mainly for interventions or minor adjustments.
- Carrying forward unused hours to the following year.
- Client portal to track tickets and remaining hours in real time.
- SLA: Response guarantee within 24 hours.
- Discounts:
- 20% off all NGYN services.
- 10% discount on other NGYNERS services (according to their agreement).
Visibility and Opportunities: Display of the business on the NGYN client page, allowing the client to benefit from visibility and collaboration opportunities with other NGYNER members.
ARTICLE 4 – PRICING
- Per month : 18€/month
- 3 years : 519,97€ = 14,44€/month
- 5 years : 839,95€ = 13,99€/month

ARTICLE 5 – SLA AND SUPPORT
NGYN commits to responding within 24 business hours. Complex interventions not covered by basic support may incur additional charges.
ARTICLE 6 – OBLIGATIONS AND TERMINATION
The client agrees to pay the subscription fee by the due date. In case of non-payment:
- First Reminder: A reminder with an 8% surcharge will be sent 15 days after the due date.
- Second Reminder and Formal Notice: If payment is still not received within 30 days of the first reminder, NGYN reserves the right to initiate legal proceedings to recover the outstanding amounts.
The client may terminate the contract at any time with 30 days' notice, with the obligation to settle any amounts due until the end of the contract year.
